These Terms and Conditions govern your access to and use of the E Law legal practice management platform. Please read carefully before using our Services.

Legal Agreement

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable UAE laws.

Complete terms governing your relationship with E Law and your use of our legal practice management platform.

Introduction & Acceptance

•Legally binding agreement between E Law and you
•Acceptance by accessing or using the Platform
•Authority to bind your law firm or legal entity
•Compliance with all UAE laws and regulations
•Material changes notified 30 days in advance

Definitions

•Agreement: Terms + Privacy Policy + Subscription Agreement
•Authorized Users: Your employees/contractors with Platform access
•Client Data: All data you upload through the Platform
•Confidential Information: Proprietary business information
•Services: E Law Platform and all features/support
•Subscription Period: Term specified in your agreement

Services & Platform Access

•Non-exclusive, non-transferable, revocable license
•Case/matter management, CRM, document control
•Financial tracking, communication hub, task management
•99.5% annual uptime target (excluding maintenance)
•Platform updates for security and compliance
•Scheduled maintenance with advance notice

User Accounts & Security

•Accurate registration information required
•You manage Authorized Users and their access
•Strong passwords and multi-factor authentication
•Immediate notification of security breaches
•Account suspension for violations or fraud
•You're responsible for all account activities

Data Protection & Privacy

•PDPL compliance (Federal Decree-Law No. 45/2021)
•256-bit AES encryption at rest, TLS 1.3 in transit
•You retain full ownership of Client Data
•You're Data Controller, we're Data Processor
•Data stored primarily in UAE
•72-hour breach notification to authorities

Client Data & Content

•You have all necessary rights to upload data
•Data doesn't violate laws or third-party rights
•No prohibited content (illegal, malicious, harmful)
•We don't sell or use Client Data for our purposes
•Regular backups for disaster recovery
•You maintain independent backups of critical data

Subscription & Payment

•Monthly or annual billing in UAE Dirhams (AED)
•Fees payable in advance upon invoice
•Late payments incur 1.5% monthly interest
•60 days notice for price changes
•Generally non-refundable except material breach
•All fees exclusive of VAT and taxes

Intellectual Property Rights

•E Law owns all Platform IP and trademarks
•No reverse engineering or derivative works
•No removal of proprietary notices
•No sublicensing or competitive use
•Feedback may be used without obligation
•All rights not granted are reserved

Confidentiality

•Both parties protect Confidential Information
•Use only for Agreement purposes
•Same care as own confidential information
•Exceptions: public, prior knowledge, independent
•Attorney-client privilege safeguards
•Disclosure allowed when legally required

Representations & Warranties

•Platform performs substantially as documented
•Professional and workmanlike service delivery
•Compliance with applicable laws
•You have authority to enter Agreement
•Your use complies with all laws
•Client Data doesn't infringe third-party rights

Limitation of Liability

•No indirect, consequential, or punitive damages
•Liability capped at 12 months of paid fees
•Exceptions: gross negligence, willful misconduct
•No liability for business interruption or data loss
•Limitations fundamental to Agreement
•Maximum protection under UAE law

Indemnification

•You indemnify us for your Terms violations
•You indemnify for third-party IP claims from your data
•We indemnify for Platform IP infringement
•Prompt notice and cooperation required
•Indemnifying party controls defense
•No settlement without prior consent

Term & Termination

•Auto-renewal for successive periods
•30 days notice for convenience termination
•Immediate termination for material breach
•Immediate suspension for security risks
•30-day data export window after termination
•All fees remain due through current period

Compliance & Regulatory

•You ensure compliance with UAE laws
•Bar association rules and legal ethics
•AML regulations and KYC requirements
•Professional responsibility for legal work
•Conflict of interest checks
•Trust accounting and financial management

Third-Party Services

•Integrations with email, storage, payments
•Third-party terms and policies apply
•We're not responsible for third-party availability
•No liability for third-party data processing
•Links don't imply endorsement
•Changes to integrations at any time

Dispute Resolution

•Governed by UAE law
•Exclusive jurisdiction: Dubai courts
•30-day good faith negotiation period
•Amicable resolution before formal proceedings
•No jury trial rights
•Prevailing party may recover costs

General Provisions

•Entire agreement supersedes prior understandings
•Amendments in writing or via modification process
•Severability: invalid provisions don't affect others
•No waiver by failure to enforce
•Assignment requires written consent
•Force majeure exemptions apply

Specific Features

•Case management: You verify deadlines independently
•Financial tools: You ensure compliance
•Document management: You control workflows
•Communications: You maintain privilege
•We provide tools, not legal/financial advice
•Professional diligence remains your responsibility

Support & Maintenance

•Email support during business hours
•Online documentation and knowledge base
•Security updates and performance optimization
•No custom development or training beyond standard
•Enhanced support at additional cost
•Scheduled maintenance announced in advance

Acceptable Use Policy

•No illegal activities or IP infringement
•No malware distribution or unauthorized access
•No fraudulent activities or harassment
•Reasonable resource usage
•Respect usage limits in your plan
•Violations may result in termination

⚠️ LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

We are not liable for indirect, incidental, special, consequential, or punitive damages.

📜 PROFESSIONAL RESPONSIBILITY

E Law is a practice management tool. You retain full professional responsibility for legal advice, quality of work, compliance with bar association rules, and all client relationships. The Platform does not provide legal or financial advice.
